Company Overview:

 

Cole, Mink, & Fransella PLLC (CMF) is a premier specialized law firm representing banks, broker-dealers, asset managers, and other financial market participants in connection with financial transactions. CMF seeks a Corporate/Transactional/Lending Associate for high volume transactional practice in connection with financial transactions, including par and distressed loan trades, securities trades, and claim trades, as well as syndicated and bilateral lending, workouts and restructurings, and compliance. Located in the Washington, DC, metro area, we provide top-tier service, depth, experience, and market knowledge to some of the most sophisticated and demanding clients in the world.

 

Duties include (but are not limited to)

 

1. Represent global financial institutions, investment funds, and private credit lenders in primary and secondary loan market transactions, including syndicated and bilateral loan originations, assignments, and participations.

 

2. Draft and negotiate key loan documentation, including credit agreements, assignment agreements, purchase and sale agreements, participation agreements, NDAs, and ancillary documentation.

 

3. Provide regulatory and compliance guidance related to loan trading practices, including LSTA and LMA standards.

 

4. Conduct due diligence and legal risk analysis of loan portfolios and financing structures in support of loan acquisitions and divestitures.

 

5. Advise clients on distressed debt transactions, amendments, restructurings, and enforcement strategies.

 

6. Collaborate with internal teams and external counsel to manage deal execution efficiently from term sheet to closing.

 

The successful applicant should be/have:

 

1. Analytical mindset with strong problem-solving abilities.

 

2. Highly organized with ability to juggle multiple deadlines in a fast-paced environment.

 

3. Strong writing, research, and communication skills.

 

4. Excellent attention to detail.

 

5. Be proficient with MS Word, MS Excel; typical law firm document management systems, and typical attorney time-entry systems.

 

6. Strong analytical skills.

 

7. Exercise sound independent judgment under minimal direct supervision.

 

8. Ability to work independently and to adapt to quickly changing environment.

 

9. Ability to work well with multiple teams on multiple transactions.

 

10. Excellent client service and listening skills.

 

Preferred experience:

 

1-3 years of corporate attorney experience in lending, bankruptcy, venture capital transactions, M&A, and/or other sophisticated financial transactions.

The applicant must be admitted to the bar in MD, DC, and/or VA.

 

Work Locations:

 

Due to the need to work remotely, the applicant must have the ability/flexibility to work full-time from their home where admitted in MD, DC, or VA.

Full-Time, Permanent

 

Pay:

 

The anticipated annual salary range for this position is $110,000 – $125,000. The final offer amount is dependent on a variety of factors including, but not limited to, years of experience, education, and other relevant skills and qualifications.
